The starting point for most transactions is an agreement to discuss the proposal. This process often involves the disclosure of confidential information.

Before confidential information is disclosed, it is prudent to obtain undertakings that the information will be kept confidential and that it will not be misused. A document that performs this task is commonly referred to as a Deed of Confidentiality or as a Deed of Non-Disclosure.
