About Mark Toohey

Mark Toohey is an experienced General Counsel for publicly-listed media and technology companies. His previous career highlights include:

  • General Counsel, Global Television Limited
  • Company Secretary and Alternate Director for the Seven Network’s  studio complex in Melbourne
  • Group General Counsel for North America, Asia and Australia for Davnet Limited

Commercial Expertise

Mark is an experienced Sydney lawyer and technology lawyer. He has advised senior management on commercial contracts, deal negotiation strategies, dispute resolution, employment and human resources issues, mergers and acquisitions, trade practices compliance as well as IT and IP issues. He has also advised independent directors involved in private equity takeovers.

His media industry work brought him into regular contact with all major broadcasters – Nine, Ten, Seven, SBS, ABC, Fox Sports and Foxtel. After completing the joint venture negotiations for Global Television to share equity and manage the Seven Network’s Melbourne studio complex, Mark was appointed Company Secretary for the joint venture and as an alternate director.

Legal Expertise

Mark has solid commercial experience having negotiated and drafted a broad array of legal documents – including shareholders agreements, sale of business agreements, commercial contracts, trading terms and conditions, employment agreements, IT contracts, software development agreements, engineering contracts and maintenance and service contracts. He has hands-on experience working with management teams on tender bids for major infrastructure projects.

Mark has extensive experience in the television outside broadcast industry. He was responsible for structuring, negotiating and drafting production contracts for major international events, Australia’s national sporting competitions, top-rating TV shows, major award ceremonies and broadcast engineering contracts.

TV Production Contracts:

  • International Events: Commonwealth Games;
  • TV shows: Big Brother, Australian Idol, Neighbours, Hi-5, Rove and many other major productions;
  • Sports: NRL, AFL, Australian Grand Prix, Indie Cars, V8 Supercars; and
  • Awards: MTV, ARIA, Logies and AFI.

Broadcast Engineering Contracts:

  • Broadcast Centre contracts for the Commonwealth Games and FINA World Swimming Championships;
  • Stadium Audio Visual contracts: Olympic Stadium as well as MCG, Suncorp and Bruce Stadiums.

Maintenance Contracts

  • Contracts for the operation and maintenance of the ‘big screen’ and all other stadium AV equipment.
  • Maintenance contracts for major studios and telecommunications facilities.
Technology Expertise

Mark was an early adopter of digital currency and blockchain technology. He has advised numerous clients in the Fintech sector. That hands-on experience means he is one of the country’s leading authorities on the intersection between the law and these new technologies.

Mark has worked with leading IT companies and he has practical experience in website management and design. He has worked with and advised leading IT companies at various stages of the commercial trajectory.

In fact, Mark revels in the opportunity to work with technology-based clients (he freely admits to being a geek at heart).

His other stated passion is business development. He enjoys the drama of corporate strategy and the many challenges involved in building a business.
